These Eprenz Events Terms and Conditions, the "Event Terms," govern registration for, access to, participation in, sponsorship of, exhibition at, presentation at, promotion of, and other involvement with events organized, hosted, co-hosted, administered, or promoted by Eprenz PBC, "Eprenz," "we," "us," or "our."
These Event Terms apply to Eprenz conferences, summits, workshops, webinars, networking programs, communities, speaker programs, sponsor programs, exhibitor programs, partner programs, pre-event activities, post-event activities, event websites, registration pages, virtual platforms, recordings, resources, and related services.
By registering for an Event, purchasing or receiving an Event pass, submitting an Event application, accepting a speaking or partner role, entering into an Event order form or agreement, accessing Event Services, or otherwise participating in an Event, you agree to these Event Terms.
These Event Terms supplement the general Eprenz Terms of Service, applicable Eprenz privacy policies, and any Event-specific terms.
A separate written agreement, order form, sponsorship agreement, exhibitor agreement, speaker agreement, partner agreement, ticket terms, or other Event-specific document also applies where relevant.

2. Definitions
For these Event Terms:
Event means an event organized, hosted, co-hosted, administered, or promoted by Eprenz, including related pre-event and post-event activities.
Event Services means websites, forms, registration systems, ticketing systems, virtual platforms, video conferencing services, communities, networking tools, applications, communications, recordings, resource libraries, and other services used in connection with an Event.
Participant means any person or organization that registers for, attends, applies to, speaks at, sponsors, exhibits at, partners with, works on, or otherwise participates in an Event.
Attendee means a person who registers for or attends an Event primarily as an audience member, community member, guest, delegate, or participant.
Speaker means a keynote speaker, session speaker, panelist, moderator, workshop leader, mentor, presenter, interview guest, facilitator, or other person contributing to Event programming.
Sponsor means a sponsor, advertiser, commercial partner, or other organization receiving agreed promotional, branding, lead-generation, speaking, exhibition, or activation benefits.
Exhibitor means an organization or representative operating a booth, showcase, demonstration, deal room, resource area, or similar Event presence.
Partner means a strategic, community, media, promotional, ecosystem, or other partner participating under an agreed relationship with Eprenz.
Event Materials means Event branding, websites, agendas, recordings, graphics, presentations, reports, transcripts, captions, resources, documents, photographs, videos, audio, software, and other materials made available through an Event.
3. Eligibility and Authority
You must provide accurate, current, and complete information when registering, applying, purchasing, or participating.
If you participate on behalf of a company, organization, Sponsor, Exhibitor, or Partner, you represent that you have authority to act on behalf of that organization and to agree to terms applicable to its participation.
Where an Event, ticket, program, service, or professional activity has an age, geographic, accreditation, membership, professional, or other eligibility requirement, you are responsible for satisfying that requirement.
Eprenz may reject, suspend, restrict, or cancel participation where:
- Eligibility requirements are not satisfied.
- Information provided is materially inaccurate or misleading.
- Required payment is not completed.
- Participation presents a material security, legal, operational, or reputational risk.
- These Event Terms or another applicable agreement are materially violated.
Nothing in this section limits rights that cannot lawfully be waived.
4. Registration and Event Credentials
Registration information must be complete and accurate.
A registration, ticket, access link, invitation, login credential, promotional code, or other Event credential is intended for the person or organization to whom it was issued unless transfer is expressly permitted.
You are responsible for safeguarding Event credentials assigned to you.
You must promptly notify Eprenz if you believe a credential has been lost, compromised, transferred without authorization, or improperly used.
Eprenz may require reasonable verification to protect an Event, its Participants, or Event Services.
5. Event Information and Program Changes
Published agendas, session descriptions, speakers, moderators, tracks, schedules, sponsors, partners, platforms, networking features, and other Event elements represent plans at the time of publication.
They do not constitute a guarantee that a specific speaker, session, topic, Sponsor, Exhibitor, Partner, feature, or networking opportunity will remain available.
Eprenz may make reasonable changes to:
- Speakers or moderators.
- Session titles or descriptions.
- Tracks.
- Session duration or timing.
- Program structure.
- Event platforms.
- Networking formats.
- Event features.
- Event schedules.
- Other operational elements.
Where a material change affects a paid registration or commercial agreement, available remedies are governed by the applicable purchase terms, Event-specific terms, written agreement, and applicable law.
6. Tickets, Passes, Fees, and Taxes
Prices, inclusions, access periods, ticket levels, sponsorship packages, exhibitor packages, and other commercial terms are those presented at the time of purchase or stated in an applicable written agreement.
Unless otherwise stated, fees are payable in the currency shown at checkout, on an invoice, or in an order form.
You are responsible for applicable taxes, duties, bank charges, foreign exchange charges, or similar amounts associated with a purchase, except where applicable law requires Eprenz to collect or bear them.
A paid registration or commercial benefit is not confirmed until required payment or other agreed consideration has been received unless Eprenz confirms otherwise in writing.
Eprenz may correct genuine pricing, listing, or technical errors. Where an error materially affects an accepted paid order, Eprenz will provide any remedy required under applicable law or the applicable written agreement.
7. Refunds, Cancellations, and Transfers
Unless otherwise stated at checkout, in Event-specific ticket terms, or in an applicable written agreement, Event registrations and paid passes are non-refundable.
Failure to attend, scheduling conflicts, failure to use Event access, failure to attend a session, or failure to use recordings, resources, networking opportunities, or other included benefits does not create a right to a refund.
Technical problems involving a Participant's own equipment, connection, browser, network, firewall, software, or other systems outside Eprenz's reasonable control do not create a refund right.
Eprenz may, in its discretion, permit a ticket transfer, substitution, credit, or other accommodation.
If Eprenz cancels an Event without providing a rescheduled Event, replacement Event, credit, or substantially equivalent benefit, Eprenz will communicate any applicable remedy to affected purchasers.
Sponsor, Exhibitor, advertising, and partnership cancellations are governed by the applicable commercial agreement, order form, or written confirmation.
Nothing in these Event Terms limits refund or cancellation rights that cannot lawfully be waived.
8. Event Postponement, Rescheduling, and Cancellation
Eprenz may postpone, reschedule, modify, or cancel an Event where reasonably necessary.
Where an Event is postponed or rescheduled, Eprenz will use reasonable efforts to communicate material changes using the contact information associated with the registration or commercial relationship.
If an Event is cancelled, any refund, credit, transfer, replacement benefit, rescheduled access, or other remedy is governed by the applicable purchase terms, written agreement, and applicable law.
A change to a program, schedule, speaker lineup, session structure, or Event platform does not by itself create a refund right unless applicable Event-specific terms or law provide otherwise.
9. Virtual and Digital Event Access
Many Eprenz Events, including the Global Founders & Innovators Summit, are delivered virtually.
Virtual Event participation requires compatible hardware, software, internet access, and other technical capabilities.
You are responsible for your:
- Internet connection.
- Device configuration.
- Browser compatibility.
- Audio and video equipment.
- Firewall settings.
- Local network.
- Other systems outside Eprenz's control.
Eprenz does not guarantee uninterrupted availability of third-party platforms, telecommunications networks, internet providers, video conferencing systems, or other external services.
Eprenz may change an Event platform or access method where reasonably necessary for operational, technical, security, or legal reasons.
10. Conduct and Community Standards
Participants must behave professionally and respectfully.
Participants must not:
- Harass, threaten, intimidate, stalk, abuse, or unlawfully discriminate against another person.
- Publish or transmit unlawful, defamatory, fraudulent, deceptive, obscene, or infringing material.
- Disrupt sessions, meetings, chats, communities, or technical systems.
- Impersonate another person or materially misrepresent an affiliation.
- Attempt unauthorized access to Event Services, accounts, networks, data, or systems.
- Introduce malware, malicious code, or harmful files.
- Scrape, harvest, collect, or extract Participant information without authorization.
- Send spam, unauthorized bulk marketing, chain messages, or unrelated mass solicitation.
- Record, copy, rebroadcast, or distribute restricted Event content without authorization.
- Circumvent access controls, ticket restrictions, security measures, or participation limits.
- Violate intellectual property, privacy, publicity, confidentiality, or other rights.
- Use Event Services for unlawful purposes.
- Use Event contact information for unrelated or unlawful commercial solicitation.
Eprenz may moderate Event Services and remove content or restrict participation where reasonably necessary to protect Participants, comply with applicable law, enforce these Event Terms, or preserve Event integrity.
11. Removal or Suspension
Eprenz may deny entry, remove a Participant, suspend Event access, restrict specific features, or terminate participation where Eprenz reasonably determines that a Participant:
- Materially violated these Event Terms.
- Disrupted the Event.
- Created a security or legal risk.
- Infringed another person's rights.
- Engaged in unlawful conduct.
- Failed to pay amounts due.
- Materially violated an applicable Event agreement.
Except where required by applicable law or agreed in writing, removal for a material breach does not create a right to a refund, credit, replacement benefit, or compensation.
Rights and obligations that by their nature should survive termination remain effective after participation ends.
12. Attendee Access and Benefits
Attendees receive only the access and benefits included in their applicable ticket, pass, invitation, or registration level.
Access to recordings, replays, resource libraries, networking features, private communities, workshops, follow-up programs, or post-event materials exists only where included in the applicable registration level or otherwise granted by Eprenz.
Attendees must not share restricted:
- Recordings.
- Access credentials.
- Slides or resources.
- Participant directories.
- Private community content.
- Paid content.
- Other restricted Event Materials.
Participation does not create a professional adviser relationship between an Attendee and Eprenz, a Speaker, Sponsor, Exhibitor, Partner, mentor, facilitator, or another Participant unless separately agreed in writing.
13. Networking and Participant Interactions
Events provide opportunities for Participants to communicate, network, schedule meetings, exchange information, join communities, and form business relationships.
Eprenz does not independently verify every:
- Participant.
- Company.
- Credential.
- Professional claim.
- Product.
- Service.
- Investment opportunity.
- Business offer.
- Representation.
You are responsible for exercising appropriate judgment and due diligence before entering into a transaction, meeting, partnership, investment, purchase, employment relationship, advisory relationship, or other arrangement with another Participant.
Eprenz is not a party to independent relationships or transactions formed between Participants unless Eprenz expressly enters into the applicable agreement.
You are responsible for information you voluntarily disclose to another Participant.
14. Speaker Applications, Selection, and Participation
Submitting a Speaker application does not guarantee selection, approval, a speaking role, or participation in an Event.
Eprenz may:
- Review Speaker applications.
- Request additional information.
- Request recordings or examples of prior speaking.
- Conduct follow-up discussions or interviews.
- Evaluate proposed topics and sessions.
- Approve or decline a proposed Speaker or session.
Selection decisions may consider programming needs, audience relevance, presentation quality, experience, topic fit, availability, Event capacity, and other legitimate programming considerations.
A Speaker role becomes confirmed only when Eprenz communicates approval or otherwise confirms participation.
A confirmed Speaker must provide accurate professional and session information and promptly notify Eprenz of material changes.
A Speaker must make reasonable efforts to:
- Attend the confirmed session.
- Connect on time.
- Complete requested onboarding or production steps.
- Participate in technical checks where requested.
- Notify Eprenz promptly if availability changes.
Eprenz retains editorial and programming control over the Event and may determine session placement, track, format, moderator, duration, timing, title, description, and related programming details.
Unless agreed otherwise in writing, no speaking fee, honorarium, travel reimbursement, expense reimbursement, or other compensation is owed.
A speaking role does not guarantee a specific audience size, number of views, leads, media coverage, business opportunity, or commercial result.
15. Speaker Profile and Promotional Materials
Once a Speaker accepts an approved speaking role or otherwise agrees to applicable Speaker terms, the Speaker grants Eprenz a non-exclusive, worldwide, royalty-free license to use approved:
- Name.
- Professional title.
- Organization name.
- Biography.
- Headshot.
- Company logo.
- Session title.
- Session description.
- Professional social links.
- Other approved promotional materials.
Eprenz may use these materials for Event administration and promotion through:
- Event websites.
- Registration pages.
- Event platforms.
- Agendas.
- Email.
- Social media.
- Advertising.
- Public relations.
- Press materials.
- Speaker graphics.
- Event communities.
- Partner communications.
- Event archives.
The Speaker retains ownership of underlying intellectual property.
The Speaker represents that the Speaker has sufficient rights and permissions to provide submitted materials and permit the uses described in these Event Terms.
16. Speaker Sessions and Recordings
Unless a separate written agreement states otherwise, a Speaker participating in a recorded Event grants Eprenz a non-exclusive, worldwide, royalty-free license to:
- Record.
- Reproduce.
- Host.
- Stream.
- Transmit.
- Distribute.
- Publicly display.
- Publicly perform.
- Caption.
- Transcribe.
- Excerpt.
- Edit for length or format.
- Create clips and highlights from.
- Make available.
the Speaker's Event session and contributions.
These rights include use in connection with:
- Live Event delivery.
- Event recordings and replays.
- Event resource libraries.
- Event archives.
- Attendee access.
- Membership or program access where applicable.
- Event promotion.
- Promotion of future Eprenz events.
- Promotion of related Eprenz programs.
- Editorial summaries.
- Session highlights.
- Short clips.
- Transcripts.
- Captions.
- Excerpts.
Eprenz will not intentionally edit a Speaker contribution in a manner that materially misrepresents the Speaker's statements.
A Speaker retains ownership of pre-existing intellectual property incorporated into the session.
The Speaker is responsible for obtaining required rights, permissions, licenses, or releases for third-party content used in a presentation, including:
- Images.
- Music.
- Video.
- Trademarks.
- Charts.
- Research.
- Case studies.
- Confidential information.
- Other protected materials.
Where a Speaker supplies slides, worksheets, templates, guides, downloads, links, or other attendee resources, the Speaker grants Eprenz the rights reasonably necessary to host, reproduce, distribute, display, or link to those resources as part of the Event.
A separate written Speaker agreement or onboarding consent controls where it expressly provides different terms.
17. Attendee Contributions to Recorded Sessions
If an Attendee voluntarily:
- Speaks during a recorded session.
- Appears on camera.
- Shares a screen.
- Asks a question orally.
- Participates in a recorded panel.
- Otherwise contributes to a recorded portion of an Event.
the Attendee grants Eprenz the rights reasonably necessary to include that contribution in the recording, replay, transcript, captions, archive, highlights, and related Event Materials.
An Attendee who does not want to appear in a recording should avoid enabling camera or microphone or otherwise contributing to a recorded portion where participation is optional.
This section does not authorize Eprenz to record private one-to-one meetings or private networking conversations without applicable notice or consent.
18. Sponsors and Exhibitors
Sponsor and Exhibitor rights and obligations are governed by these Event Terms together with any applicable:
- Order form.
- Sponsorship agreement.
- Exhibitor agreement.
- Proposal.
- Invoice.
- Written confirmation.
A Sponsor or Exhibitor receives only the benefits included in its confirmed package or agreement.
Descriptions of expected:
- Reach.
- Attendance.
- Impressions.
- Leads.
- Views.
- Meetings.
- Engagement.
- Exposure.
are estimates, historical information, targets, or objectives unless expressly guaranteed in a signed written agreement.
Eprenz does not guarantee a specific number of:
- Registrations.
- Attendees.
- Leads.
- Sales.
- Meetings.
- Booth visits.
- Views.
- Impressions.
- Conversions.
- Partnerships.
- Commercial outcomes.
A Sponsor or Exhibitor is responsible for the accuracy, legality, and substantiation of claims made through its advertisements, offers, presentations, demonstrations, resources, promotions, products, and services.
A Sponsor or Exhibitor must not represent that Eprenz endorses its products, services, claims, investment opportunities, or business unless expressly agreed by Eprenz in writing.
19. Sponsor and Exhibitor Brand Assets
A Sponsor or Exhibitor grants Eprenz a non-exclusive, worldwide, royalty-free license during the applicable Event relationship and related archive period to use approved:
- Names.
- Logos.
- Trademarks.
- Product images.
- Videos.
- Descriptions.
- Links.
- Other supplied brand materials.
The license is limited to Event administration, delivery, promotion, archival use, and fulfillment of agreed benefits.
The Sponsor or Exhibitor retains ownership of its intellectual property.
The Sponsor or Exhibitor represents that it has sufficient rights to provide the materials it supplies.
Eprenz may reject materials that are unlawful, misleading, infringing, technically unsuitable, inconsistent with Event standards, or submitted after an applicable production deadline.
20. Sponsor Lead Generation and Participant Data
Sponsor, Exhibitor, and Partner access to Participant Personal Information is governed by:
- The Eprenz Events Privacy Policy.
- Applicable Event notices.
- Applicable law.
- Relevant sponsorship or partnership terms.
- Any applicable written data terms.
Depending on the Event and sponsorship or partnership arrangement, agreed benefits may include access to attendee or lead information for relevant business follow-up.
Such information may include, depending on the Event and applicable arrangement:
- Name.
- Email address.
- Company.
- Job title or role.
- Country or general location.
- Industry.
- Business stage.
- Business interests.
- Business challenges.
- Registration information.
- Participation information.
- Other disclosed Event registration information.
Participation as a Sponsor, Exhibitor, or Partner does not create an unrestricted right to Participant Personal Information.
Recipients must use Personal Information only for lawful and disclosed purposes consistent with the applicable Event arrangement.
A Sponsor, Exhibitor, or Partner receiving Participant Personal Information must:
- Use information only for lawful and disclosed purposes.
- Provide privacy notices required by applicable law.
- Honor applicable marketing and opt-out rights.
- Maintain reasonable security measures.
- Refrain from unauthorized scraping or redistribution.
- Delete, restrict, or otherwise address information where required by applicable law.
- Cooperate with Eprenz where reasonably necessary to address an Event-related privacy or security concern.
Where a Participant directly provides information to a Sponsor, Exhibitor, or Partner through a meeting request, lead form, sponsored resource, promotion, or similar interaction, the recipient is responsible for its subsequent processing under its own privacy notice and applicable law.
The same responsibility applies where information is provided as part of an applicable sponsorship or partnership benefit.
Eprenz may suspend or terminate lead access where misuse is identified.
21. Partners and Co-Promotion
Use of terms such as partner, partnership, community partner, media partner, strategic partner, or ecosystem partner describes a collaborative business relationship.
Such terminology does not by itself create a legal partnership, joint venture, fiduciary relationship, franchise, employment relationship, or agency relationship.
Cross-promotion, mailing commitments, social media posts, content contributions, logo placement, registration targets, audience access, media activity, or similar commitments exist only where agreed.
Each Partner is responsible for its own:
- Statements.
- Marketing communications.
- Data processing.
- Products.
- Services.
- Legal compliance.
Neither party has authority to bind the other unless expressly authorized in writing.
22. Promotional Materials and Co-Promotion
Eprenz may provide Speakers, Sponsors, Exhibitors, and Partners with approved:
- Graphics.
- Suggested copy.
- Promotional links.
- Promotional codes.
- Registration links.
- Media assets.
- Other promotional materials.
Use of Eprenz trademarks, logos, Event names, and graphics must follow applicable brand instructions.
Participants must not:
- Materially alter Event claims in a misleading way.
- Create false endorsements.
- Misstate their relationship with Eprenz.
- Publish false or misleading attendance, speaker, sponsor, or program claims.
Where a separate agreement includes promotional commitments, that agreement controls.
23. Intellectual Property Owned by Eprenz
Except for third-party materials and Participant-owned materials, Eprenz and its licensors retain all rights in:
- Eprenz Event branding.
- Event websites.
- Eprenz-created platform content.
- Event graphics.
- Event reports.
- Event compilations.
- Eprenz-created recordings.
- Eprenz-created summaries.
- Software.
- Logos.
- Trademarks.
- Designs.
- Text.
- Other proprietary materials.
Subject to these Event Terms and the applicable access level, Eprenz grants Participants a limited, revocable, non-exclusive, non-transferable right to access Event Materials for personal or internal business use.
Unless Eprenz gives written permission, Participants must not:
- Reproduce or redistribute restricted Event Materials.
- Sell, sublicense, or commercially exploit Event Materials.
- Remove copyright, trademark, attribution, or proprietary notices.
- Create unauthorized public archives of Event recordings.
- Use Event Materials to falsely imply endorsement or affiliation.
- Extract restricted Event Materials for unauthorized resale, republication, competing commercial products, or unauthorized model or system training.
Nothing in these Event Terms transfers ownership of Eprenz intellectual property to a Participant.
24. Participant Materials and Submissions
Except for rights expressly granted under these Event Terms or another agreement, Participants retain ownership of materials they submit.
By submitting materials for use in an Event, you grant Eprenz a non-exclusive, worldwide, royalty-free license to use, reproduce, host, display, transmit, distribute, format, and technically modify those materials to the extent reasonably necessary to:
- Administer the Event.
- Deliver the Event.
- Promote the Event.
- Archive the Event.
- Provide agreed Event benefits.
You represent that:
- You own the submitted materials or have sufficient rights to provide them.
- Eprenz's permitted use does not infringe third-party rights.
- The materials do not contain unlawful or malicious content.
- Required releases, licenses, permissions, and disclosures have been obtained.
25. Confidential Information
Participation in an Event does not create a general confidentiality obligation between Participants.
Do not disclose confidential, proprietary, privileged, trade secret, personal, or restricted information during a public or recorded session unless you are authorized to disclose it.
Private meetings, deal rooms, mentoring sessions, Sponsor meetings, networking meetings, or other restricted interactions are not automatically confidential unless:
- The Participants enter into a confidentiality agreement.
- The applicable Event feature expressly states otherwise.
- Applicable law imposes confidentiality.
Eprenz is not responsible for another Participant's unauthorized use or disclosure of information that you voluntarily disclose.
26. Third-Party Content, Offers, and Services
Events may include content, links, products, services, resources, advertisements, demonstrations, offers, and opinions provided by Speakers, Sponsors, Exhibitors, Partners, Attendees, or other third parties.
Unless expressly stated in writing, Eprenz does not endorse, warrant, verify, or guarantee third-party:
- Products.
- Services.
- Claims.
- Offers.
- Advice.
- Investment opportunities.
- Representations.
A transaction between a Participant and a third party is solely between those parties unless Eprenz is expressly identified as a party.
Third-party websites, applications, payment services, platforms, and external services operate under their own terms and privacy policies.
27. Educational Content and No Professional Advice
Event content is provided for general:
- Educational.
- Informational.
- Networking.
- Business-development.
purposes.
Event content does not constitute legal, tax, accounting, medical, investment, financial, securities, employment, regulatory, engineering, or other regulated professional advice from Eprenz.
Statements by Speakers, Sponsors, Exhibitors, Partners, mentors, facilitators, or other Participants are their own statements and do not necessarily represent Eprenz.
You are responsible for evaluating information before acting on it and obtaining professional advice where appropriate.
28. Investment and Business Opportunities
An Event may include discussions concerning:
- Fundraising.
- Investment.
- Acquisitions.
- Business sales.
- Partnerships.
- Financial performance.
- Business opportunities.
- Other commercial matters.
Unless expressly stated in a separate regulated offering document issued by the responsible party, Event content does not constitute an offer, solicitation, recommendation, or endorsement by Eprenz to buy or sell securities or enter into an investment transaction.
Eprenz does not guarantee the accuracy of investment or financial claims made by independent Participants.
Participants are responsible for their own due diligence and compliance with applicable securities, financial promotion, investment, and other laws.
29. Privacy
Personal Information associated with an Event is processed according to applicable Eprenz privacy policies, including the Eprenz Events Privacy Policy.
Those policies describe matters including:
- Categories of Personal Information.
- Purposes of processing.
- Event registration.
- Event technology.
- Analytics and tracking.
- Sponsor and Partner disclosures.
- Recordings.
- Lead generation.
- International processing.
- Retention.
- Privacy rights.
- Contact procedures.
Where a Participant independently receives Personal Information from another Participant, that recipient is responsible for complying with applicable privacy and marketing laws.
30. Electronic Communications and SMS
By registering for or participating in an Event, you agree to receive operational communications reasonably necessary to administer your:
- Registration.
- Ticket.
- Event access.
- Payment.
- Schedule.
- Session.
- Speaker role.
- Sponsorship.
- Exhibition.
- Partnership.
- Other Event relationship.
Operational communications are separate from optional promotional marketing.
Where applicable law requires consent for promotional email, SMS, telephone, or similar communications, Eprenz will obtain the required consent.
For an applicable Eprenz SMS program:
- Message frequency may vary.
- Message and data rates may apply.
- Replying STOP opts out of future messages from that SMS program.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EVENTS, EVENT SERVICES, EVENT MATERIALS, RECORDINGS, NETWORKING FEATURES, AND RELATED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
EPRENZ DOES NOT GUARANTEE THAT EVENT SERVICES OR THIRD-PARTY PLATFORMS WILL OPERATE WITHOUT INTERRUPTION, DELAY, ERROR, OR TECHNICAL FAILURE.
EPRENZ DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF INFORMATION, CLAIMS, ADVICE, PRODUCTS, OR SERVICES PROVIDED BY INDEPENDENT SPEAKERS, SPONSORS, EXHIBITORS, PARTNERS, OR OTHER PARTICIPANTS.
TO THE EXTENT PERMITTED BY LAW, EPRENZ DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
EPRENZ DOES NOT WARRANT THAT PARTICIPATION IN AN EVENT WILL PRODUCE A PARTICULAR:
- BUSINESS RESULT.
- LEAD.
- SALE.
- INVESTMENT.
- PARTNERSHIP.
- CUSTOMER.
- MEDIA OPPORTUNITY.
- CONNECTION.
- COMMERCIAL OUTCOME.
ANY WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED REMAIN UNAFFECTED.
32. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EPRENZ AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING:
- LOST PROFITS.
- LOST REVENUE.
- LOST BUSINESS.
- LOST BUSINESS OPPORTUNITIES.
- LOSS OF GOODWILL.
- BUSINESS INTERRUPTION.
arising from or relating to an Event, Event Services, Event Materials, third-party services, or these Event Terms.
Eprenz is not responsible for loss or harm resulting from independent dealings, communications, transactions, relationships, advice, products, services, or arrangements between Participants.
To the fullest extent permitted by applicable law, Eprenz's aggregate liability arising from a paid Event registration will not exceed the amount paid to Eprenz for the registration giving rise to the claim.
For Sponsors, Exhibitors, Partners, Speakers, vendors, or other commercial relationships, any liability limitation contained in the applicable written agreement will govern.
Nothing in these Event Terms excludes or limits liability that cannot lawfully be excluded or limited.
33. Indemnification
To the fullest extent permitted by applicable law, Speakers, Sponsors, Exhibitors, Partners, vendors, and Participants who provide content, materials, advertisements, products, services, offers, or other submissions in connection with an Event agree to defend, indemnify, and hold harmless Eprenz, its affiliates, directors, officers, employees, contractors, and agents from third-party claims, liabilities, damages, losses, costs, and reasonable legal expenses arising out of or relating to:
- Material breach of these Event Terms or an applicable Event agreement.
- Unlawful conduct.
- Content, advertising, claims, offers, products, services, or materials they provide.
- Infringement or alleged infringement of intellectual property, privacy, publicity, confidentiality, or other third-party rights.
- Misuse of Participant Personal Information.
- Independent transactions or relationships for which Eprenz is not a party.
This section does not impose an indemnification obligation where prohibited by applicable law.
34. Force Majeure
Eprenz is not responsible for delay, interruption, modification, postponement, or cancellation caused by circumstances outside Eprenz's reasonable control.
These circumstances may include:
- Natural disasters.
- Fire.
- Flood.
- Severe weather.
- Epidemics or pandemics.
- Public health emergencies.
- War.
- Terrorism.
- Civil disorder.
- Labor disputes.
- Government action.
- Utility failure.
- Telecommunications failure.
- Internet failure.
- Platform outages.
- Cyberattacks.
- Supplier failures.
- Failure or unavailability of a key Event resource.
- Other events outside Eprenz's reasonable control.
Where such circumstances affect an Event, Eprenz may take reasonable steps to continue, reschedule, replace, reformat, modify, or cancel affected Event activities.
Financial remedies remain subject to applicable purchase terms, written agreements, and non-waivable rights under applicable law.
35. Relationship to General Eprenz Terms
The general Eprenz Terms of Service also apply to Eprenz websites, accounts, communication services, communities, and other Eprenz services used in connection with an Event.
If these Event Terms conflict with the general Eprenz Terms of Service on an Event-specific matter, these Event Terms control for that Event-specific matter.
If a signed written agreement between Eprenz and a Sponsor, Exhibitor, Partner, Speaker, vendor, or other Participant conflicts with these Event Terms, the signed agreement controls for the subject matter of that conflict.
36. Order of Precedence
Unless a document expressly states otherwise, the following order applies where terms conflict:
1. A signed written agreement or signed order form governing the specific commercial relationship.
2. Event-specific purchase, ticket, registration, Speaker, Sponsor, Exhibitor, or Partner terms presented for the applicable relationship.
3. These Eprenz Events Terms and Conditions.
4. The general Eprenz Terms of Service.
The Eprenz Events Privacy Policy and general Eprenz Privacy Policy govern privacy matters according to their respective scopes.
37. Dispute Resolution
Before initiating litigation concerning a dispute arising out of or relating to these Event Terms or an Event transaction, the party asserting the dispute must provide written notice describing:
- The nature of the dispute.
- Relevant facts.
- Any reasonably relevant documentation.
The receiving party will have 30 days to respond or attempt to resolve the dispute in good faith.

This informal resolution process is a condition precedent to litigation to the extent enforceable under applicable law.
38. Governing Law and Venue
Consistent with the general Eprenz Terms of Service, these Event Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
To the extent permitted by applicable law, disputes arising out of or relating to these Event Terms or an Event are subject to the jurisdiction and venue of the state or federal courts located in Michigan.
Mandatory consumer protections or jurisdictional rights that cannot lawfully be waived remain unaffected.
39. Time Limit for Claims
To the fullest extent permitted by applicable law, any claim arising out of or relating to these Event Terms or an Event must be commenced within one year after the cause of action accrues.
This limitation does not apply where applicable law prohibits shortening the applicable statutory limitation period.
40. Changes to These Event Terms
Eprenz may update these Event Terms to reflect changes in:
- Event Services.
- Business practices.
- Technology.
- Legal requirements.
- Other relevant circumstances.
The Last Updated date identifies the current version.
Changes apply prospectively from their effective date unless otherwise stated.
Material changes will not retroactively reduce contractual rights already agreed for an existing paid registration or signed commercial relationship unless the applicable agreement or law permits the change.
Where applicable law requires additional notice or consent for a change, Eprenz will provide it as required.
41. Assignment
You may not assign or transfer rights or obligations under these Event Terms without Eprenz's written consent except where applicable law provides otherwise.
Eprenz may assign these Event Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, transfer of Event operations, or similar business transaction, subject to applicable law.
42. Waiver
A failure or delay by Eprenz to enforce any provision of these Event Terms does not waive the right to enforce that provision later.
A waiver is effective only if made in writing by an authorized Eprenz representative.
43. Severability
If a provision of these Event Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the greatest extent permitted by law or severed where necessary.
The remaining provisions remain in effect.
44. No Third-Party Beneficiaries
Except where these Event Terms expressly state otherwise, these Event Terms do not create enforceable rights for any person or entity that is not a party to the applicable Event relationship.
45. Entire Agreement
These Event Terms, together with documents incorporated by reference and applicable Event-specific terms or written agreements, constitute the agreement governing the relevant Event relationship.
They supersede prior oral or written statements concerning the same subject matter to the extent those statements conflict with the controlling documents identified in Section 36.
